Given my financial situation, should I choose an investment a brokerage service? Why or why not?

We offer brokerage services on Private Placements for Accredited and Institutional investors only. Integral Wealth also engages in the wholesaling of mutual fund and provides corporate advisory services. Integral Wealth is not a full-service broker dealer and does not offer any other investment products or services.

How will you choose investments to recommend to me?

Integral Wealth will offer a limited number of Private Placements at a time. We do due diligence on all of our transactions before agreeing to offer them. We may not always have an offering available.

What is your relevant experience, including your licenses, education and other qualifications? What do these qualifications mean?

David Franklin joined Amera Securities LLC in 2018 and assumed the role of Chief Executive Officer June of 2019. He is responsible for business strategy and growth of the overall firm. David has a diverse business background including more than 15 years’ experience in the financial services industry in Canada holding various roles in the industry including Research, Investment Banking and Institutional Sales. Mr. Franklin has an Honors Degree in Economics from Wilfrid Laurier University and holds a Chartered Investment Manager (CIM) designation in Canada. Mr. Franklin hold FINRA Series: 7, 24 and 63 licenses.

Terrence P Cunningham joined Amera’s precursor firm in 2009. Mr. Cunningham has 37 years of experience in the business and has a BA from the University of Richmond. Mr. Cunningham holds FINRA Series 7, 24, 63, 65, 79 licenses.

Help me understand how fees and costs may affect my investments. If I give you $10,000 to invest, how much will go to fees and costs, and how much will be invested for me?

If you make a $10,000 through a Private Placement, Integral Wealth will be paid 5-10% of this amount as a finder’s fee.

How might your conflicts of interest affect me, and how will you address them?

Understanding the inherent conflicts, we have, how they could potentially influence our recommendations to you, and how we mitigate and disclose such conflicts is essential to your decision to retain our services.

We only earn fees if you make an investment, if you do not make an investment, we do not earn any fees. We can make extra money by selling you certain investments because they are offered by companies that pay our firm to sell their investments. We have an incentive to offer or recommend certain investments because the manager or sponsor of those investments shares with us revenue it earns on those investments.

Integral Wealth has marketing agreements with other entities who may refer investors to Integral Wealth . Some of Integral Wealth Registered Representatives are also Registered Investment Advisor Representatives and they refer advisory clients to Integral Wealth deals. Integral Wealth has an incentive to give those clients preference on an offering, but Integral Wealth will allocate based upon when it receives the subscription agreement.
